Agreement and authorised use
These terms govern authorised enterprise use of PeopleTide CRM, PeopleTide Scheduling, and PeopleTide Gateway. The customer organisation controls its tenant, users, connected calendars and devices, audiences, integrations, booking pages, and workflows. If an executed enterprise agreement conflicts with these terms, the executed agreement controls to the extent of that conflict.
Scheduling conditions
Hosts are responsible for maintaining accurate availability, healthy calendar connections, meeting locations, booking questions, and reminder settings. Calendar providers, networks, and invitee devices may delay or prevent updates. A booking is confirmed only when PeopleTide reports confirmation and the calendar invitation is created; the calendar invitation and later provider updates remain the source of truth for joining details.
Customer responsibilities
- Use accurate account and organisation information and protect credentials and paired devices.
- Obtain and retain any consent, registration, template approval, or other authority required before contacting a recipient.
- Honour opt-outs, quiet hours, suppression rules, carrier requirements, and applicable telecommunications, marketing, privacy, and consumer-protection law.
- Review automated outputs and provide suitable human oversight for customer-impacting decisions.
SMS gateway conditions
The gateway must be installed on an approved Android phone, selected as the default SMS handler, granted the stated permissions, and paired with the intended tenant. Carrier availability, mobile-plan limits, roaming, device state, and Android restrictions may affect delivery. Normal carrier charges apply.
Prohibited and high-risk use
You must not use PeopleTide for unlawful surveillance, unsolicited or deceptive messaging, harassment, credential theft, malware, rights infringement, bypassing carrier controls, or processing data without authority. The service is not an emergency service and must not be the sole means of contacting emergency responders or delivering time-critical safety instructions.
Confidentiality and data
Each party must protect the other party’s confidential information using reasonable care and use it only for the agreed service. Data handling is also governed by the applicable enterprise agreement, data-processing terms, and the Privacy Policy.
Service changes and suspension
Features may change as security, platform, carrier, legal, or operational requirements evolve. Access may be limited or suspended to protect users, recipients, the service, or third parties; respond to legal requirements; prevent abuse; or address non-payment or material breach.
Disclaimers
Except for commitments expressly stated in an executed agreement, the service is provided on an “as available” basis. We do not guarantee uninterrupted availability, delivery by a carrier or third-party channel, error-free automation, or any particular commercial result. Nothing in these terms excludes a warranty or remedy that cannot lawfully be excluded.
Liability allocation
Subject to applicable law and the executed enterprise agreement, neither party is liable for indirect, incidental, special, punitive, or consequential loss. The aggregate liability cap requires counsel approval before publication: [COUNSEL-APPROVED LIABILITY CAP]. Liability that cannot lawfully be limited remains unaffected.
Customer indemnity
To the extent permitted by law, the customer is responsible for third-party claims arising from its unlawful content, missing recipient authority, prohibited campaigns, configured integrations, or misuse of the service, subject to the procedures and limits in the executed enterprise agreement.
Termination and governing terms
On termination, access ends and data is handled under the approved retention and export provisions. These terms are governed by [GOVERNING LAW AND VENUE]. Questions may be sent to support@peopletide.com.
Open-source notices
PeopleTide Gateway incorporates software distributed under third-party licences, including AndroidX, Kotlin, Jetpack Compose, OkHttp, Kotlin coroutines and serialization, Room, WorkManager, Firebase Android SDK components, and ZXing Android Embedded. Copyright notices and licence terms supplied with those projects continue to apply; these terms do not replace them.
